The Godrej Group, established 127 years ago and known for its diverse businesses from soaps and appliances to real estate, is undergoing a split among its founding family members. The agreement divides the conglomerate into two branches: Adi Godrej and Nadir Godrej retaining Godrej Industries along with five listed firms, while cousins Jamshyd Godrej and Smita Godrej Crishna gain control of unlisted Godrej & Boyce and its affiliates, alongside a substantial land bank including prime properties in Mumbai.
The split, framed as an "ownership realignment" of the Godrej companies, aims to maintain harmony and align ownership with differing visions within the family. Under this arrangement, Godrej Enterprises Group, comprising Godrej & Boyce and various affiliates spanning multiple industries, will be led by Jamshyd Godrej as chairperson and managing director. His niece, Nyrika Holkar, will serve as executive director. This branch will also oversee a substantial land bank, including 3,400 acres in Mumbai.
On the other side, Godrej Industries Group, encompassing listed entities like Godrej Industries, Godrej Consumer Products, Godrej Properties, Godrej Agrovet, and Astec Lifesciences, will be chaired by Nadir Godrej. Adi, Nadir, and their immediate families will control this group. Pirojsha Godrej, Adi's son, will be the executive vice chairperson and is set to succeed Nadir as chairperson in August 2026.
The split required adjustments in board memberships, with Adi and Nadir Godrej resigning from the Godrej & Boyce board, and Jamshyd Godrej stepping down from boards at GCPL and Godrej Properties. Speculations suggest Adi and Nadir might divest their stakes in Godrej & Boyce, while Jamshyd's side could transfer interests in GCPL and Godrej Properties through a family arrangement.
The real estate assets, primarily in Mumbai, will remain under Godrej & Boyce, with a separate agreement governing ownership rights. Notably, the Vikhroli landholdings are valued at over ?1 lakh crore, comprising 3,000 acres with significant development potential. This land, acquired in the early 1940s, holds historical significance.
The family agreement, pending regulatory approvals, aims to streamline operations, enhance focus, and leverage core strengths across various businesses. Both groups, while split, remain committed to the Godrej legacy, values, and brand.
